Item 8.01 Other Events
On August 26, 2015, Cameron International Corporation, a Delaware corporation (the “Company”) and Schlumberger Limited, a Curaçao corporation (“Schlumberger”) issued a joint press release announcing they entered into a definitive agreement pursuant to which Schlumberger has agreed to acquire the Company. A copy of such joint press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
