As
of September 7, 2006, Thomas D. Mendenhall ceased to serve as the Senior Vice President — Abercrombie & Fitch and
abercrombie — for Abercrombie & Fitch Co. (the
“Registrant”). The Registrant and
Mr. Mendenhall have not yet reached an agreement regarding his
separation.
