Item 1.01 Entry into a Material Definitive Agreement

On June 27, 2006, the Organization and Compensation Committee of the Board of
Directors approved the base salary increases of Stephen F. Kirk and Donald W. Bogus,
who are executive officers were named in the Summary Compensation Table of The
Lubrizol Corporation’s 2006 Proxy Statement. The new annual base salaries are
effective July 28, 2006. Mr. Kirk was informed of his increase on July 11, 2006 and
Mr. Bogus was informed of his increase on July 13, 2006.
