ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT On April 25, 2005, F.N.B. Corporation (the Corporation) announced the signing of a definitive agreement to acquire North East Bancshares, Inc., a bank holding company located in North East, Pennsylvania. The merger is valued at approximately $15.5 million with North East shareholders receiving $107.00 of F.N.B. Corporation common stock for each share of North East common stock. The press release issued by the Corporation announcing the acquisition is attached hereto as Exhibit 99.1 and incorporated by reference herein. The acquisition, subject to regulatory approval, is expected to close during the fourth quarter of 2005. ITEM 9.01.
