EXPLANATORY NOTE
     This Amendment No. 1 (“Amendment No. 1”) supplements and amends the Tender Offer Statement on Schedule TO (the “Original Schedule TO”) filed by Mirant Corporation, a Delaware corporation (the “Company”), with the Securities and Exchange Commission on July 12, 2006 relating to its offer (the “Offer”) to purchase up to 43,000,000 shares of its common stock, par value $0.01 per share, at a price not greater than $29.00 nor less than $25.75 per share, net to the seller in cash, less any applicable withholding taxes and without interest. The Offer is subject to the terms and conditions set forth in the Offer to Purchase, dated July 12, 2006 (the “Offer to Purchase”), and the related Letter of Transmittal (the “Letter of Transmittal”), copies of which were filed with the Original Schedule TO as Exhibits (a)(1)(A) and (a)(1)(B), respectively. The information contained in the Offer to Purchase and the related Letter of Transmittal is incorporated herein by reference in response to all of the items of Schedule TO.
     This Amendment No. 1 is being filed solely to add additional exhibits to the Original Schedule TO and is intended to satisfy the reporting requirements of Rule 13e-4(c)(1) of the Securities Exchange Act of 1934, as amended.
