Explanatory Note

This amendment is being filed for the purpose of filing the final version of the Employment Agreement, dated as of April 4, 2006, between Sykes Enterprises, Incorporated and Jenna R. Nelson. The copy of the Employment Agreement filed with the original Form 8-K on April 4, 2006 was not the final version of the Agreement executed by the parties.
