Item 1.01. Entry into a Material Definitive Agreement.

     On June 15, 2005, Applica Consumer Products, Inc. entered into new employment agreements with Terry L. Polistina, Senior Vice President and Chief Financial Officer, and Michael J. Michienzi, President – Household Products Division. Applica Consumer Products, Inc. is the U.S. operating subsidiary of Applica Incorporated.
