Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     (d) On December 6, 2007, Covanta Holding Corporation (the “Company”) issued a press release (the “Press Release”) announcing that Linda J. Fisher had been appointed as an independent member of the Board of Directors of the Company on December 6, 2007, filling a newly created vacancy on the Board of Directors. Ms. Fisher was also appointed to the Public Policy Committee of the Board of Directors.
     Ms. Fisher was awarded 3,719 shares of restricted stock of the Company on the date of her appointment pursuant to the Company’s compensation policy for non-employee directors, as described in the Company’s Proxy Statement for its 2007 Annual Meeting of Stockholders filed with the Securities and Exchange Commission on April 25, 2007 and incorporated herein by reference.
     Ms. Fisher is currently Vice President, Safety, Health and Environment and Chief Sustainability Officer at E.I. du Pont de Nemours and Company (“DuPont”) in Wilmington, Delaware. Prior to joining DuPont in 2004, Ms. Fisher was Deputy Administrator of the United States Environmental Protection Agency.
     Ms. Fisher also serves on the Board of Directors of the Environmental Law Institute, on the Board of Trustees of The National Parks Foundation, on the Board of Directors of RESOLVE, and on the Board of Directors for Resources for the Future.
