Executive Management Bonus Plan (the Executive Bonus Plan), subject to approval by the Companys shareholders. On May 19, 2009, the Companys shareholders approved the Executive Bonus Plan at the Companys 2009 Annual Meeting of Shareholders. | |
The Executive Bonus Plan is a cash incentive plan for the Companys executive officers and is intended to permit the payment of annual cash incentive awards that qualify as performance-based compensation under Section 162(m) of the Internal Revenue Code of 1986, as amended. A summary of the Executive Bonus Plan is contained in the Companys proxy statement on Schedule 14A filed with the Securities and Exchange Commission on April 9, 2009 (Proxy Statement), which description is incorporated herein by reference pursuant to Instruction B.3 of Form 8-K.
