(b)      Effective June 30, 2008, Norriss M. Webb retired as an employee of the Company. Mr. Webb had been an employee of the Company since 1981. He served as Executive Vice President and General Counsel prior to the appointment, effective May 5, 2008, of Martin R. Baker as the Company’s Senior Vice President, General Counsel and Chief Compliance Officer.
