On June 25, 2003, U.S. Bancorp Piper Jaffray Inc. (“Piper Jaffray”) issued a press release announcing the filing of a Form 10 registration statement with the Securities and Exchange Commission in connection with U.S. Bancorp’s planned spin-off of its capital markets business unit, including the investment banking and brokerage activities primarily conducted by Piper Jaffray. The press release is included as Exhibit 99.1 hereto and is incorporated herein by reference.
