On January 30, 2003, an amendment to the Rights Agreement, dated as of June 20, 1996, between Material Sciences Corporation ("MSC") and Mellon Investor Services LLC (f/k/a ChaseMellon Shareholder Services, L.L.C.), as rights agent (the "Agreement"), became effective. The amendment increases the threshold amount (from 15% to 20%) upon which a beneficial owner of shares becomes an "Acquiring Person" (as defined in the Agreement).
