Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

     On March 22, 2007, Global Industries, Ltd. (the “Company”) issued a press release announcing that Lawrence R. Dickerson has been elected to the Company’s Board of Directors (the “Board”) effective March 21, 2007. Mr. Dickerson is expected to be designated as a member of the Company’s Audit Committee and Compensation Committee at the next regularly scheduled meeting of the Board.

     A copy of the press release is attached as Exhibit 99.1 to this Report and is incorporated by reference into this Item 5.02.
