Item 8.01 Other Events.
On February 10, 2005, Enterprise Products Partners L.P. (the Partnership) entered into an underwriting agreement for the public offering of 15,000,000 common units, and up to 2,250,000 additional common units to cover over-allotments, if any. A copy of the Underwriting Agreement is filed as Exhibit 1.1 hereto. Closing of the issuance and sale of the common units is scheduled for February 16, 2005.
On February 11, 2005, the Partnership filed with the Securities and Exchange Commission a prospectus supplement dated February 10, 2005 to the accompanying base prospectus dated April 21, 2003 included in Enterprises registration statement on Form S-3 (Registration No. 333-102778), as amended. The prospectus supplement was filed pursuant to Rule 424(b)(5) under the Securities Act of 1933, as amended, in connection with the above described offering. Certain opinions related to such registration statement and the offering are filed as exhibits to this Current Report on Form 8-K.
