Item 2.02. Results of Operations and Financial Condition.

     On October 21, 2004, Mylan Laboratories Inc., a Pennsylvania corporation (the “Company”), issued a press release regarding its anticipated earnings per share for the second quarter ended September 30, 2004. The Company will affirm its second quarter earnings and provide its revised earnings guidance for fiscal 2005 during its regular quarterly conference call on October 28, 2004 at 10:00 am ET. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
