Section 1 — Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement.
On July 31, 2007, Tower Automotive, Inc. (the “Company”) announced in a press release that it
has completed the sale of substantially all of its assets to Tower Automotive, LLC, an affiliate of
Cerberus Capital Management, L.P. The sale concludes Tower’s restructuring process and finalizes
its emergence from Chapter 11. A copy of the press release is filed herewith as Exhibit 99.1 and
is incorporated herein by reference.
