EXPLANATORY NOTE
Pursuant to General Instruction E of Form S-8, this registration statement hereby incorporates by reference the contents of the registration statement on Form S-8 (Registration No. 333-150019) filed by Rockwell Automation, Inc. on April 1, 2008 relating to the Rockwell Automation, Inc. 2008 Long-Term Incentives Plan (the “Plan”), except as expressly modified herein.
On February 2, 2010, the shareowners of Rockwell Automation, Inc. approved amendments to the Plan previously adopted by the Board of Directors of Rockwell Automation, Inc., subject to shareowner approval, which among other things, increased by 4,000,000 shares the number of shares of Common Stock, par value $1 per share, of Rockwell Automation, Inc. available for delivery under the Plan. This registration statement registers such 4,000,000 additional shares of Common Stock.
