ITEM 8.01 OTHER EVENTS
     On November 1, 2009, Terra Industries Inc. (“Terra”) confirmed by press release receipt of a revised proposal from CF Industries Holdings, Inc. (“CF Industries”) to acquire Terra for $32.00 in cash (reduced by the $7.50 per share special dividend declared by Terra) and 0.1034 of a share of CF Industries common stock for each Terra share.
     A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
