INTRODUCTION
This Tender Offer Statement on Schedule TO (the “Schedule TO”) relates to pre-commencement communications made by Conseco, Inc., a Delaware corporation (the “Company,” “Conseco,” “we” or “us”), in connection with its contemplated offer to purchase (the “Tender Offer”) for cash any and all of its outstanding 3.50% Convertible Debentures due September 30, 2035 (the “Debentures”).
