Item 5.03. Amendments to Articles of Incorporation or By Laws; Change in Fiscal Year.
Effective February 10, 2006, the Board of Directors of New York Mortgage Trust, Inc. (the “Company”) amended the Company’s Bylaws to allow the annual meeting of the stockholders to be held by the end of June each year on a date and at a time set by the Board of Directors. Prior to this amendment, the Bylaws required the annual meeting of the stockholders to be held during the month of May each year.
