CELLCOM ISRAEL LTD. ANNOUNCES CHANGES IN THE BOARD OF DIRECTORS
Netanya, Israel – August 1, 2012 – Cellcom Israel Ltd. (NYSE: CEL) (TASE: CEL) (hereinafter: the "Company") announced today it has received the resignation from office of Mr. Assaf Topaz, a member of the Company's board of directors who had been appointed by Discount Investment Corporation Ltd., or DIC, and DIC's notification designating Mr. Ari Bronshtein, a member of the Company's board of directors, as its appointee, in his place. Both the resignation and the appointment are effective as of August 1, 2012.
Mr. Bronshtein's appointment is in accordance with the requirement of the Company's telecommunications license and articles of association that at least 20% of the Company directors be appointed by Israeli citizens and residents from among the Company's founding shareholders. As a result, Mr. Bronshtein will not stand for reelection as a director of the Company at the upcoming annual general meeting of shareholders of the Company.
