EXPLANATORY NOTE
 
On September 6, 2000, Universal Corporation commenced a continuous medium term note offering under a prospectus dated August 28, 2000 and a prospectus supplement dated September 6, 2000. This Current Report on Form 8-K is filed for the purpose of filing the Fixed Rate Note that was issued September 20, 2002 pursuant to a Pricing Supplement dated September 17, 2002 previously filed in connection with that medium term note program.
