Item 8.01  Other Events.

On December 20, 2013, Spectrum Brands Holdings, Inc. (the “Company”) issued a press release announcing that it plans to hold its 2014 Annual Meeting of Stockholders on Tuesday, January 28, 2014.  The 2014 annual meeting date is more than 30 days prior to the anniversary of the Company’s 2013 annual meeting of stockholders, which was held on March 1, 2013.  As a result, in the press release the Company also reiterated the deadlines for the submission of stockholder proposals for the 2014 annual meeting.  The Company’s Board of Directors has fixed December 16, 2013 as the record date for the 2014 annual meeting.
