ITEM 8.01 OTHER EVENTS.
On April 3, 2006, Service Corporation International ("SCI") and
Alderwoods Group, Inc. ("Alderwoods") issued a joint press release announcing
that they had entered into a definitive agreement, whereby SCI will acquire
Alderwoods. A copy of the press release is attached hereto as Exhibit 99.1 and
incorporated herein by reference.
