(1) | On July 26, 2017, the reporting person was granted an option to purchase 21,000 shares of common stock at the closing price of the common stock on that date. The option vests and becomes exercisable (which may be in whole or in part): (i) based on the Company's and the reporting person's satisfaction of certain performance criteria, as determined by the Compensation Committee, and (ii) in three equal annual installments beginning one year from the date that the conditions described in clause (i) are satisfied, or earlier upon the death, disability or retirement of the recipient or a change of control of the Company (as provided in the 2015 Equity Incentive Plan). On March 1, 2018, the Compensation Committee determined the extent to which the performance criteria were met. |
