Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 23, 2008, the Board of Directors of USA Truck, Inc. appointed Garry R. Lewis as Executive Vice President and Chief Operating Officer. On January 23, 2008, the Board of Directors also appointed Michael E. Brown to succeed Mr. Lewis as Senior Vice President, Operations.

In connection with Mr. Lewis’ promotion, the Company’s Board of Directors approved an increase in his annual base salary from $196,800 to $208,800, effective immediately.
