Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On June 30, 2008, the Board of Directors of Perini Corporation (the Company or Perini) approved an amendment to the Companys bylaws, effective immediately, to extend the period of time within which the 2008 annual meeting of the shareholders may be held. As previously announced, the Company expects that it will at the 2008 annual meeting ask its shareholders to vote on and approve the transactions contemplated by the previously announced Agreement and Plan of Merger, dated April 2, 2008, as amended (the Merger Agreement), by and among the Company, Trifecta Acquisition LLC, Tutor-Saliba Corporation (Tutor-Saliba), Ronald N. Tutor, and the shareholders of Tutor-Saliba. The amendment to the Companys bylaws, which is attached as Exhibit 3.1 to this report, extends the period of time within which the 2008 annual meeting of the shareholders may be held, which will facilitate the consideration of the shareholder approval of the Merger Agreement at the 2008 annual meeting. (Prior to this amendment, the bylaws would have required that the 2008 annual meeting be held within six months after the end of the fiscal year of the Company.) As previously announced, the Company expects the transaction to close during the third quarter of 2008. The Company has not yet set a date for the 2008 annual meeting and expects to do so following the completion of the review of the Companys preliminary proxy statement by the Securities and Exchange Commission. The transaction is subject to customary closing conditions.
