Item 8.01 Other Events
On May 21, 2012, the remarketing of $350 million aggregate principal amount of the Series C Debentures due June 1, 2014 (Debentures) issued by NextEra Energy Capital Holdings, Inc., a wholly-owned subsidiary of NextEra Energy, Inc. (NEE), was successfully completed. The Debentures were originally issued as components of NEE's equity units in May 2009. The Debentures are guaranteed by NEE. In connection with the remarketing of the Debentures, the annual interest rate on the Debentures was reset to 1.611% and interest is payable semi-annually on June 1 and December 1, commencing June 1, 2012. The Debentures were remarketed under Registration Statement Nos. 333-160987, 333-160987-01, 333-160987-02, 333-160987-03, 333-160987-04, 333-160987-05, 333-160987-06, 333-160987-07 and 333-160987-08. This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the remarketing and sale of the Debentures.
