Results of Operations and Financial Condition.

On May 18, 2006, Stage Stores, Inc. (the "Company") issued a news release announcing its financial results for the first quarter ended April 29, 2006. Additionally, the Company updated second quarter and full year earnings guidance. A copy of the news release is attached to this Form 8-K as Exhibit 99.
