As of 11:59 p.m., New York City time, on January 22, 2019, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “HSR Act”) applicable to the pending acquisition of Nutrisystem, Inc. (“Nutrisystem”) by Tivity Health, Inc. (“Tivity Health”) (the “Merger”) expired. The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Merger, which remains subject to the satisfaction of other customary closing conditions, including the adoption of the Merger by Nutrisystem’s stockholders.
