Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On April 18, 2018, Alexander & Baldwin, LLC, Alexander & Baldwin, LLC, Series R, Alexander & Baldwin, LLC, Series T, and Alexander & Baldwin, LLC, Series M, each a wholly owned subsidiary of Alexander & Baldwin, Inc. (the “Company”), refinanced the 3.9% fixed rate $62.5 million Prudential Series E loan that matures in 2024 and is covered by the Second Amended and Restated Note Purchase and Private Shelf Agreement among the Company, Alexander & Baldwin, LLC, Prudential Investment Management, Inc. and certain affiliates of Prudential Investment Management, Inc., dated December 10, 2015, as amended. The new Prudential financings are as follows: $10 million at a fixed interest rate of 4.66% maturing in 2025 (Series J); $34.5 million at a fixed interest rate of 4.81% maturing in 2027 (Series K); and $18 million at a fixed interest rate of 4.89% maturing in 2028 (Series L).
