Item 8.01 Other Events.

Sugarmade Inc., a Delaware corporation (the “Company”) makes the following disclosures pursuant to Regulation FD.

On March 21, 2017, the Company incorrectly issued a press release concerning the distribution of a new product. The press release was issued based on incorrect assumptions relating to the status of the distribution agreement with the retailer mentioned in the press release. Therefore, the Company has recalled the press release.

The Company is making this disclosure at it believes such a disclosure may be required pursuant to Section 13 OR 15(d) of The Securities Exchange Act of 1934, generally referred to as Regulation FD Disclosure.
