Item 7.01. Regulation FD Disclosure.
On August 21, 2018, Pebblebrook Hotel Trust (“Pebblebrook”) issued a press release announcing its release of a letter to the Board of Trustees of LaSalle Hotel Properties (“LaSalle”) in which the Company submitted an enhanced merger proposal for a strategic combination with LaSalle.
A copy of the press release is furnished as Exhibit 99.1 to this report and is incorporated by reference herein.
On August 21, 2018, Pebblebrook updated the investor presentation relating to Pebblebrook’s opposition to LaSalle’s proposal to merge with affiliates of The Blackstone Group L.P., which was originally posted to Pebblebrook’s website on August 10, 2018. The investor presentation was updated to reflect the increase in the cash component of the merger consideration, as set forth under Item 8.01 of this Current Report on Form 8-K, and more recent pricing information. The investor presentation can be accessed by visiting the Investor Relations section of Pebblebrook’s website, investor.pebblebrookhotels.com.
Item 8.01. Other Events.
As previously reported, Pebblebrook has made a merger proposal to LaSalle with merger consideration in the form of cash and Pebblebrook’s common shares of beneficial interest, $0.01 par value per share (“Pebblebrook common shares”).
Pebblebrook has increased the number of LaSalle common shares that may receive $37.80 in cash per share to up to 30% of LaSalle, shares outstanding, representing a 50% increase in the number of shares that may receive cash compared to Pebblebrook’s prior proposal. The increased Pebblebrook offer provides LaSalle shareholders with the option to elect to receive for each LaSalle common share they own either a) a fixed amount of $37.80 in cash or b) a fixed exchange ratio of 0.92 Pebblebrook common share. Under the terms of the enhanced offer, the maximum number of LaSalle, shares eligible to receive cash is increased from 20% to 30% in the aggregate.
