(1)	This transaction involved gifts by the reporting person of 233,650 shares of stock owned by Bright Capital Ltd., which is owned by the reporting person , and 1,005,692 shares of stock owned by Chris-Dan LLC, which is also owned by the reporting person. A total of 889,342 shares were gifted to the reporting person's wife and are thus still shown as indirectly owned by the reporting person. The remaining 350,000 shares were gifted to other family members, none of whom live with him or are his dependents, and such shares are not included as beneficially owned by the reporting person.
