Item 8.01.                      Other Events.

Company Announces Third Quarter Dividends

On December 21, 2009, the Company issued a press release announcing that its Board of Directors declared a cash dividend of $0.25 per share on shares of its common stock for the quarter ending December 31, 2009.  The dividend is payable on January 26, 2010 to common stockholders of record on January 7, 2010.  In addition, the Company announced that its Board of Directors declared a dividend of $0.625 per share on shares of its Series A Cumulative Convertible Redeemable Preferred Stock (the “Series A Preferred Stock”) for the 2009 fourth quarter in accordance with the terms of the Series A Preferred Stock.  The dividend is payable on January 29, 2010 to stockholders of record on December 31, 2009.  A copy of the press release is filed herewith as Exhibit 99.1 and incorporated by reference herein.
