Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(c) In connection with our prior disclosure on September 12, 2008, relating to the planned retirement of a subsidiary president and Section 16-B officer, the Company has selected Ms. Lori Schutte to succeed Carol Westfall as President of Cejka Search upon Ms. Westfall’s retirement at the end of March 2009.

Ms. Schutte, 47 years old, joined Cejka Search in 2004 and has served as Vice President of Client Services.  For the preceding 15 years, she served as a Vice President of Mid-America Transplant Services in St. Louis.
