ITEM 8.01.  Other Events.

On February 9, 2009, Advanced Medical Optics, Inc. (the “Company”) announced that it amended the previously announced tender offer and consent solicitation with respect to the Company’s 7½% Senior Subordinated Notes due 2017 to increase the tender offer consideration and extend the consent deadline until 12:00 Midnight, New York City time, on February 24, 2009. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
