(1) | The reporting person's 20,000 options were cancelled by mutual agreement pursuant to the terms of an option cancellation agreement dated as of December 5, 2014 between the reporting person and the issuer. The agreement provides for the reporting person to receive payment of an amount in cash equal to the number of shares of the issuer's common stock covered by the options, multiplied by the excess of the closing price of the issuer's common stock over the exercise price of the options on December 5, 2014 ($5.71 per share), less tax withholdings required by applicable law. |
