Item 1.01 Entry Into A Material Definitive Agreement.
On December 21, 2015, Boise Cascade Company (the "Company") filed a Current Report on Form 8-K (the "Original Report") reporting its entry into an Asset Purchase Agreement, dated December 18, 2015 (the “Purchase Agreement”), to purchase the engineered lumber production facilities of Georgia-Pacific LLC. This amendment is being filed to amend and supplement Item 1.01 and Item 9.01(d) of the Original Report to include the Purchase Agreement.
The summary of the Purchase Agreement as set forth in the Original Report is qualified in its entirety to the full text of the Purchase Agreement, which is filed as Exhibit 2.1 hereto and is incorporated by reference herein.
