Fellow CF Industries Employees:

This morning we announced that CF Industries has entered into a definitive agreement with OCI N.V. under which CF will combine with OCI’s European, North American and Global Distribution businesses. When the transaction is completed in 2016, CF Industries will be the world’s largest publicly traded nitrogen company. This will allow us to play an even greater role in helping to feed a population that is expected to reach 9 billion people in 2050.    

The key details of the agreement with OCI include:
Adding OCI’s nitrogen production facilities in Galeen, Netherlands and Wever, Iowa as well as the company’s interest in an ammonia and methanol complex in Beaumont, Texas
Purchasing a 45 percent interest in Natgasoline, which upon completion in 2017 will be the world’s largest methanol facility.
Combining OCI’s global distribution business with CF, which will enable us to more effectively access fertilizer markets around the world.
Domiciling the combined company in the United Kingdom while keeping our principal executive offices in Deerfield, Illinois.

We know that there will be many questions about today’s announcement. Over the next month, the Senior Leadership Team will be conducting our quarterly town hall meetings around the company. We will share more details with you then and look forward to answering your questions.

Ten years ago, CF Industries entered a new era as a publicly traded company, enabling the success we’ve created over the last decade.  In 2010, we transformed the company with the acquisition of Terra International.  Today, our business undertakes another transformational change by adding OCI’s European, North American and Global Distribution businesses to our recent acquisition of GrowHow and our soon-to-be completed capacity expansion projects.
