On October 9, 2007, Omega Flex, Inc. (the Company) issued an organizational announcement stating that Duane E. Shooltz, Senior Vice President and General Manager of the Companys TracPipe® flexible gas piping business had resigned for family medical reasons.
In connection with Mr. Shooltzs resignation, Mr. Shooltz and the Company entered into a Separation Agreement and General Release that became effective on October 8, 2007 (the Separation Agreement). The Separation Agreement superseded and terminated Mr. Shooltzs current employment agreement dated March 27, 2006 with the Company. Under the Separation Agreement, Mr. Shooltz will be entitled to receive $172,425.00, to be paid in 39 equal weekly payments beginning on October 8, 2007. In addition, the Company will pay the COBRA premiums for continuing health insurance coverage for Mr. Shooltz and his family for a 12-month period following the effective date of the Separation Agreement. In exchange for that and other consideration, Mr. Shooltz agreed to release any claims he may have had against the Company, including any possible claims under the employment agreement.
