Item 7.01 Regulation FD Disclosure.

Old National Bancorp ("Old National") announced that its banking subsidiary, Old National Bank, completed its previously announced acquisition of certain assets and certain liabilities of 24 retail bank branches of Bank of America, National Association in Northern Indiana and Southwestern Michigan effective July 12, 2013. A copy of the Old National press release dated July 15, 2013 announcing the completion of the transaction is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
