Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective December 31, 2010, Eric Tinch Senior Vice President, Human Resources of APAC Customer Services, Inc. (the "Company") resigned from the Company to pursue other opportunities. Michael Hoehne, Vice President, Human Resources will step in as interim head of Human Resources while an external search is being conducted.
In connection with Mr. Tinch's resignation, the Company and Mr. Tinch entered into a letter agreement (including a waiver and release agreement and acknowledgement of continuing requirement to comply with policies and procedures) which serves as an amendment to Mr. Tinch's Offer Letter Agreement dated April 1, 2010 (the "Amendment"), a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
