Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

This amendment amends the original Form 8-K dated September 12, 2010.

Paragraph 12 under Item 5.02 is hereby deleted in its entirety and replaced with the following:

"Mr. Marrow will receive a payment on October 22, 2010 in the amount of $231,000 which is payment of his annual target bonus for the 2010 fiscal year under the MIP. Pursuant to the Amendment, the restrictive covenants under Mr. Marrow's previously executed Agreement Protecting Company Interests remain in full force and effect in accordance with their terms."

All other descriptions as set forth in the original Form 8-K dated September 12, 2010 remain unchanged.
