Item 1.01 Entry into a Material Definitive Agreement.

On December 7, 2005, the Company paid a discretionary cash bonus to Thomas J. Wojciechowski, Executive Vice President, Sales, in the amount of $25,000.00. Also on December 7, 2005, the Company paid a discretionary cash bonus to Randall J. Frapart, Senior Vice President and Chief Financial Officer, in the amount of $9,750.00. On December 22, 2005, the Company paid a discretionary cash bonus to Paul Pluschkell, President and Chief Executive Officer, in the amount of $72,000.00.
