Item 8.01 Other Events.

On November 17, 2005, Fauquier Bankshares, Inc. (the "Company"), the holding company for The Fauquier Bank, announced the declaration of a dividend of $0.175 per share payable on January 3, 2006 to shareholders of record at the close of business on December 22, 2005. The dividend represents a 9.4% increase over the dividend the Company paid on October 3, 2005. A copy of the Company's press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference.
