Kansas City Southern ("KCS", "the Company")announced on April 1, 2005, that its majority owned subsidiary, TFM, is commencing a cash tender offer for any and all outstanding $443,500,000 aggregate principal amount of 11.75% Senior Discount Debentures due 2009 (the "Notes") on the terms and subject to the conditions set forth in TFM’s Offer to Purchase and Consent Solicitation Statement dated April 1, 2005. See the press release attached hereto as Exhibit 99.1 for additional information.
