The following information is being furnished pursuant to Item
8.01. This information, including the exhibits attached hereto,

Exchange Act of 1934, as amended (the "Exchange Act"), or
incorporated by reference in any filing under the Securities Act

On July 17, 2006, Spectrum Control, Inc. issued a press release
announcing it had acquired 100% of the outstanding common stock
of Advanced Thermal Products, Inc. A copy of the press release is
attached as Exhibit 99.1.
