The 2013 Annual Meeting of Stockholders (the “2013 Annual Meeting”) of TSR, Inc. (the “Company”) was held on December 11, 2013. The following matters were submitted to the stockholders of the Company at the 2013 Annual Meeting for their approval:
Election of Director
The stockholders of the Company elected Robert A. Esernio to serve as a Class III Director of the Company for a three-year term. The balloting for the election was as follows:

Advisory resolution to approve the compensation of the Company’s executive officers
The stockholders of the Company voted to approve an advisory resolution approving the compensation of the Company’s executive officers as disclosed in the Company’s proxy statement for the 2013 Annual Meeting pursuant to the requirements of Section 14A of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and the rules promulgated thereunder. Advisory resolution to determine the frequency of the advisory resolution to approve the compensation of the Company’s executive officers
The stockholders of the Company voted upon an advisory resolution to determine whether the aforementioned advisory vote to approve the compensation of the Company’s executive officers will occur every year, every two years or every three years pursuant to the requirements of Section 14A of the Exchange Act and the rules promulgated thereunder.
