(1) The reported holding relates to an award of restricted stock under the M&T Bank Corporation 2009 Equity Incentive Compensation Plan. The restricted stock award included a total of 1,455 shares. 146 shares of the restricted stock award will vest on March 28, 2014; an additional 291 shares will vest on March 28, 2015; an additional 436 shares will vest on March 28, 2016; and the remaining 582 shares will vest on March 28, 2017.
